1. Introduction
These Terms and Conditions document your engagement with Shujal Technologies ("Company", "we", "us", or "our"). By accessing our website, engaging our services, or utilizing our software products, you signify your acceptance of these terms. These provisions are governed by the laws of India, including but not limited to the Information Technology Act, 2000 and the rules framed thereunder.
2. Scope of Services
Shujal Technologies operates as an elite software engineering and AI automation agency. The specific scope, timeline, and deliverables of any project will be governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed between the client and us.
3. User Responsibilities & Acceptable Use
Users of our services agree to interact with our systems in a lawful manner. You shall not:
- Reverse engineer, decompile, or attempt to extract the source code of our proprietary systems unless explicitly permitted under your specific MSA.
- Use our AI integration tools to generate illegal, defamatory, or intentionally deceptive content.
- Introduce malicious code, ransomware, or exploit vulnerabilities in our cloud infrastructure.
4. Intellectual Property Rights (IPR)
Unless explicitly stated otherwise in a written contract, all base code, frameworks, pre-existing tools, and methodologies remain the exclusive intellectual property of Shujal Technologies. Custom code developed specifically for a client transfers ownership strictly upon full and final payment of all corresponding invoices.
5. Limitation of Liability
To the maximum extent permitted by Indian Law, Shujal Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or operational continuity, arising out of the use or inability to use our software solutions or APIs.
6. Force Majeure
We shall not be liable for any failure to perform our obligations where such failure results from any cause beyond our reasonable control, including but not limited to power failure, internet outages, cyber-attacks, or acts of God.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in New Delhi, India.
8. Modification of Terms
We reserve the right to revise these terms to comply with shifting regulations or industry standards. Continued use of our services following any modifications signifies acceptance of the amended terms.
